What Are Startup Funding Rounds?
Startup funding rounds are sequential stages of equity investment. At each stage, investors provide capital in exchange for an ownership percentage. Each round requires more traction than the last — moving from “here’s an idea” at pre-seed to “here’s a proven business at scale” at Series B and beyond.
Every Round Explained
Capital from founders, friends and family, or small angel investors. Sometimes includes accelerators (Y Combinator, Techstars) investing $125K–$500K for 5–7% equity.
- What investors want: compelling idea, credible team, early proof of demand
- Typical instruments: SAFEs or convertible notes
- Timeline to close: 1–3 months
- Non-equity equivalent: 0% APR card stacking, Kiva US microloans
First formal round. Used to build an MVP, hire initial staff, and acquire early customers.
- What investors want: MVP or prototype, early traction or strong team pedigree
- Valuation: typically $2M–$10M pre-money
- Timeline to close: 3–6 months
- Non-equity equivalent: Accion ($5K–$250K), bank-backed capital (551+ credit)
First institutional round led by a VC firm that takes a board seat. Used to scale a proven business model.
- What investors want: proven PMF, clear unit economics, path to profitability
- Timeline to close: 3–9 months
- Board seat: yes — lead investor typically joins the board
Scaling capital. Used to expand into new markets and grow headcount significantly. Investors expect mature recurring revenue and competitive moats.
Late-stage or pre-IPO capital. Companies at this stage are typically valued at $100M+ and preparing for an IPO or acquisition.
Cumulative Dilution Across All Rounds

| Pre-founding | — | — | 100% |
| Pre-seed | $250K | 10% | 90% |
| Seed | $1.5M | 20% | 72% |
| Series A | $8M | 20% | 58% |
| Series B | $25M | 15% | 49% |
| After Series B | $34.75M raised | 51% given up | ~49% retained |
If You’re Not Raising VC Funding
The vast majority of US small businesses are not VC-fundable. The equivalent capital stack — with no dilution, no board seats, and capital in days rather than months:
| VC Round Equivalent | Non-Equity Alternative | Amount | Cost | Credit Required |
|---|---|---|---|---|
| Pre-seed | 0% APR card stacking / Kiva US | $15K–$120K | 0% | 580+ / None |
| Seed | Accion microloan / bank-backed capital | $5K–$500K | 8–35% APR | 550–551+ |
| Series A equivalent | Bank-backed revolving line of credit | $25K–$1.5M | 18–35% APR | 551+ |
